The purpose of the course is to provide knowledge of some concepts, techniques and operations of a purely corporate nature that emerge within legal arguments, usually in relation to practical aspects that could arise when applying specific laws. The subjects in which business-related issues could be referred to are mainly commercial law, bankruptcy law and crisis law: the estimate of a business complex in the context of an extraordinary transaction or in the simple case of withdrawal of a shareholder, the same economic reasons underlying an extraordinary operation (especially the sale), the knowledge of the causes of a business crisis, the drafting of a recovery plan; these are all examples of how corporate issues are increasingly linked to the legal regulations in which they are referred to. At the end of the course the student will have acquired: 1) a basic knowledge of the economic and business implications of a series of legal issues; 2) the ability to give an initial appreciation to non-legal arguments, in order to mitigate the dependence on other professionals; 3) understand what type of specialist could provide effective collaboration, using knowledge (albeit partial) of the topic as a common ground for comparison.
